1. Service Description

GetGoodStanding.com ("we," "us," "our") is a document retrieval service operated by Cryp Solutions LLC. We obtain Certificates of Good Standing (and equivalent state-named documents like Certificate of Existence, Certificate of Status, Certificate of Subsistence, etc.) from state Secretary of State offices on behalf of our customers.

GetGoodStanding.com is not a law firm and does not provide legal advice. Our service is administrative, we obtain public records on your behalf. If you need legal advice about your business's compliance status or certificate requirements, consult a licensed attorney.

2. Pricing

Our pricing is dynamic based on the state and option selected. The price you see at checkout includes the applicable state filing fee. Prices range from $50 (most states) up to $200+ for premium options like Delaware Long Form Certificates with apostille.

We do not charge any hidden fees. The price shown at checkout is the total price charged.

3. Accuracy of Information

You are responsible for providing accurate information about your business, including the correct legal name and state of registration. If the information you provide is inaccurate or the business does not exist as described, we may not be able to obtain your certificate. We are not responsible for errors caused by inaccurate information you provided.

4. Processing Times

Processing time estimates ("1-2 business days," "same day," etc.) are estimates based on typical state agency turnaround times. Actual delivery times may vary based on state agency workload, technical issues with state portals, or other factors outside our control. We make commercially reasonable efforts to deliver as quickly as possible but cannot guarantee specific delivery times.

• Full refund if we haven't yet obtained the certificate
• Full refund if your business is not in good standing and the certificate cannot be issued
• No refund once a certificate has been delivered to you

6. Business Not in Good Standing

If your business is not currently in good standing with the state (typically due to unfiled annual reports, unpaid franchise tax, or other compliance issues), the state will not issue a Certificate of Good Standing. We will notify you immediately and offer either a full refund or guidance on restoring good standing.

7. Limitations of Liability

To the maximum extent permitted by law, GetGoodStanding.com and Cryp Solutions LLC are not liable for any consequential, incidental, indirect, or punitive damages arising from your use of our service. Our total liability for any claim is limited to the amount you paid for the order in question.

We are not responsible for outcomes related to your use of the certificate (e.g., if a bank loan falls through due to timing, if a deal closes late, etc.). The certificate itself is a public document, we facilitate retrieval, but we do not warrant any business outcome.

8. Intellectual Property

The GetGoodStanding.com website, branding, and content are property of Cryp Solutions LLC. State-issued certificates are public documents and may be used freely by the recipient for legitimate business purposes.

9. Prohibited Uses

You may not use our service for any illegal purpose, including but not limited to fraud, identity theft, or attempting to obtain certificates for businesses you do not legitimately represent.

10. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Florida.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of our service after changes constitutes acceptance of the updated Terms.
