What is a Standing Certificate?

A Standing Certificate is New Jersey's name for the document other states call a Certificate of Good Standing. Issued by the New Jersey Division of Revenue and Enterprise Services, it confirms that your business entity is properly registered and current with state filings. New Jersey offers two variants: a Short Form and a Long Form (with detailed entity history for M&A or due diligence).

Only New Jersey issues a Standing Certificate

Every other state uses Certificate of Good Standing, Certificate of Existence, Certificate of Status, Certificate of Legal Existence, or Subsistence Certificate. The legal effect is the same regardless of the name.

Which New Jersey Standing Certificate do you need?

  • Short Form ($75 all-in). Confirms the entity is in good standing as of today. Sufficient for bank loans, commercial leases, foreign qualification, and routine compliance.
  • Long Form ($125 all-in). Adds officers, agent information, and a list of charter documents on file. Required for M&A diligence, sophisticated lending, and IPO preparation.

If you're unsure which form your counterparty needs, ask. Most requests are satisfied by the Short Form. The Long Form is required only when explicitly requested.
